Terms of Use - Turnkey Technologies, Inc.

This offering comprises commercial software products, services, and related materials provided by Turnkey Technologies, Inc. (“Turnkey Technologies Programs”). These terms apply exclusively to proprietary applications and services developed or provided by Turnkey Technologies, Inc. and do not apply to Microsoft products governed by Microsoft’s license agreements.

 

By accessing or using this application, you agree to be bound by the following terms and conditions:

 

1. License and Usage

Turnkey Technologies, Inc. grants you a limited, non-exclusive, non-transferable license to use the application solely for your internal business purposes. All rights not expressly granted are reserved by Turnkey Technologies, Inc.

You may not:

  • Reverse engineer, decompile, or disassemble the software.

  • Modify, adapt, or create derivative works based on the application.

  • Use the application in a manner that violates applicable laws or infringes third-party rights.

 

2. Ownership and Intellectual Property

All rights, title, and interest in the application and associated content remain the sole property of Turnkey Technologies, Inc. or its licensors. This includes, but is not limited to, all trademarks, copyrights, and proprietary technology.

3. Support and Maintenance

Support and maintenance for this application are provided by Turnkey Technologies, Inc. as specified in your service agreement or subscription plan. Microsoft is not responsible for the support of this application.

4. Payment Terms

If this application is provided on a paid basis, fees, billing terms, and payment methods will be described in a separate agreement or as part of your subscription process.

5. Warranty Disclaimer

This application is provided “as-is” and without warranties of any kind, either express or implied. Turnkey Technologies, Inc. disclaims all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability

In no event shall Turnkey Technologies, Inc. be liable for any indirect, incidental, special, or consequential damages, or loss of profits or revenue, arising out of the use or inability to use the application.

7. Termination

Turnkey Technologies, Inc. reserves the right to suspend or terminate your access to the application at any time for violations of these terms or for maintenance and support reasons.

8. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law principles.

9. Data Protection and Privacy

You retain ownership of all data entered into the application.

Turnkey Technologies, Inc. will handle such data in accordance with its Privacy Policy.

You are responsible for ensuring your use of the application complies with applicable data protection laws, including but not limited to GDPR and CCPA.

 

10. Acceptable Use and Security

You agree not to use the application to attempt to gain unauthorized access to any service, data, or account.

You agree not to engage in any activity that could compromise system integrity or performance, including but not limited to penetration testing or introducing malicious software.

 

11. Indemnification

You agree to indemnify, defend, and hold harmless Turnkey Technologies, Inc. from any claims, damages, losses, or liabilities arising out of your use of the application or violation of these Terms.

 

12. Force Majeure

Turnkey Technologies, Inc. shall not be liable for any failure to perform due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, or government restrictions.
